1. Definitions
For the purposes of these Beta Terms:
“Beta Services” means any product features, services,modules, integrations, artificial intelligence functionality, tools, or capabilitiesthat Deep Space designates as beta, preview, pilot, early access, experimental,limited release, or similar designation.
“Customer” means the individual or legal entity that hasentered into the applicable Deep Space agreement governing the use of theplatform.
“Deep Space” means Deep Space AI and its affiliates,subsidiaries, and related entities.
“Feedback” means any comments, ideas, suggestions,recommendations, bug reports, performance feedback, or other informationprovided by the Customer regarding Beta Services.
2. Participation in Beta Services
Participation in Beta Services is voluntary.
Deep Space may make Beta Services available to selectedcustomers for testing, evaluation, and feedback purposes. Access may be limited or invite-only at Deep Space’s discretion.
Customers must maintain an active platform account and comply with all applicable agreements and laws. Deep Space may approve or denyaccess to Beta Services at its discretion.
3. Nature of Beta Services
Beta Services are experimental and provided for testing purposes only.
Customer acknowledges that Beta Services may contain bugs, errors, incomplete functionality, or performance issues. Beta Services may change materially prior to general release.
Beta Services are provided on an “as-is” and “as-available” basis without guarantees of reliability or performance.
4. No Service Level Agreement
Beta Services are not subject to service level agreements.
Deep Space provides no uptime guarantees, availability commitments, or support obligations for Beta Services, although support may beprovided at Deep Space’s discretion.
5. Modifications and Termination
Deep Space may modify, suspend, or discontinue Beta Services at any time.
Access may be revoked without notice. Deep Space may incorporate Beta Services into the generally available platform, change them significantly,or discontinue them entirely.
6. Data and Monitoring
Deep Space may monitor Customer use of Beta Services toimprove functionality, troubleshoot issues, evaluate feature adoption, andmaintain platform security.
Usage analytics, diagnostic information, and performance metrics may be collected and processed in accordance with the Deep Space Privacy Policy.
7. Feedback License
If Customer provides Feedback regarding Beta Services, Customer grants Deep Space a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and commercialise such Feedback withoutrestriction.
Deep Space is not obligated to implement any Feedback.
8. Intellectual Property
All intellectual property rights in Beta Services remain theexclusive property of Deep Space or its licensors.
Participation in Beta Services does not grant Customers any ownership rights beyond the limited right to access and use the services duringthe beta period.
9. Confidentiality
Beta Services and related information may constitute confidential information of Deep Space.
Customers must not publicly disclose details, screenshots, functionality, or performance information related to Beta Services without prior written consent from Deep Space.
10. Fees
Beta Services may be provided free of charge or subject to fees determined by Deep Space.
Deep Space reserves the right to introduce pricing if Beta Services become generally available.
11. Disclaimer of Warranties
Beta Services are provided “as-is”, “as-available”, and withall faults.
Deep Space disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. Deep Space does not guarantee uninterrupted or error‑free operation.
12. Limitation of Liability
To the maximum extent permitted by law, Deep Space shall not be liable for any damages arising from the use of Beta Services, including lossof data, downtime, or business interruption.
Where liability cannot be excluded, Deep Space’s total aggregate liability relating to Beta Services will not exceed NZD $100.
13. Governing Law
These Beta Terms are governed by the laws of New Zealand.
Any disputes shall be subject to the exclusive jurisdictionof the courts of New Zealand.
14. Relationship to Main Terms
These Beta Terms supplement the Deep Space Terms of Service or other governing agreement.
If there is a conflict between these Beta Terms and the main agreement, these Beta Terms apply solely with respect to Beta Services.
